Areas of Practice:
Lee Walthall has been in business and has practiced for 25 years, 17 of
which as a named partner in a law firm.
Her career, however, has included working in house for a large
group of companies, providing general representation of insurance companies,
broker-dealers, and separate accounts (mutual funds), involving discussion,
negotiation and application with the appropriate regulatory authorities.
Her regulatory experience includes representing credit unions, banks and savings and loan
institutions in the restructuring and
acquisition activities. Credit Unions often enter into contracts with third party
vendors to make available to their members all kinds of financial products. Often they
do this through credit union service organizations or other arrangements
with other credit unions. Ms. Walthall represents credit unions in
a wide variety of matters, often in a regulatory capacity.
Lee Walthall's practice includes mergers and acquisitions, combinations
and sales of companies and company assets. Since entering private practice, she has
represented both buyers and sellers. She has drafted appropriate documents,
filed the necessary applications with regulators, and negotiated prices and adjustments of prices.
Such representation includes an legal analysis of the valuation of the business and recommendation
as to whether a stock sale or asset sale is called for, the adjustments available in the
contract price, and the likely application of tax law to the transaction. Ms. Walthall is therefore also
available to assist in preparing exit strategies for owners who intend to sell in the future, or
to pass the business along to family members.
She has a great deal of experience handing both debt and equity financing of companies.
She possesses the ability to analyze the
structure of a business and ascertain the entity structure most suited to the owners'
needs. Ms. Walthall
has represented both privately held and publicly held businesses, has drafted and
filed public reports and filings,
and has drafted private securities offering documents. Companies represented
include corporations,
partnerships, limited partnerships, limited liability companies, close corporations, and
associations, among many
others.
Lee Walthall works with title companies to close real estate matters, and
has represented both buyers and sellers in commercial real estate transactions. She enjoys
opportunities to work with commercial condominiums.
Ms. Walthall has written and lectured several times in the areas of estate,
securities and banking laws and
is a member of the several sections of the American Bar Association.
Ms. Walthall is a native English speaker and is proficient in Spanish and French. She currently
studies Mandarin.
She is the Chair Elect of the Asian Chamber of Commerce, and is a member of the Texas
Association of Bank Counsel.
